Introduction

In a world where business reporting demands accuracy, efficiency, and transparency, the XBRL standard has become essential for regulators, companies, and data users.

At the heart of this transformation is XBRL International Inc. (XII), the global non-profit organisation responsible for developing, maintaining, and promoting the XBRL standard. Through XII’s coordination and support, the adoption of XBRL is more consistent and effective, helping to realise its full potential and enabling greater alignment in implementations worldwide.

Through its governance structure, membership collaboration, and continuous innovation, XBRL International ensures that XBRL remains a reliable and evolving solution for digital reporting.

This section provides an overview of XBRL International’s role, governance, membership structure, and contributions. Understanding how XII operates is key to leveraging XBRL effectively and staying ahead in the ever-evolving landscape of digital disclosures.

Overview of XBRL International

XBRL International Inc. (XII) is a global not-for-profit organisation acting in the public interest, with the mission to improve accountability and transparency in business performance worldwide by providing an open standard for the exchange of business reporting data.

As the official steward of the XBRL standard, XBRL International provides a common framework that enables the efficient preparation, sharing, and analysis of both financial and non-financial information. XBRL International’s Role in the Reporting Ecosystem

XBRL International plays a unique role in ensuring that the XBRL standard is coherent, up-to-date, and aligned with global best practices.

For regulators, XII acts as a trusted, neutral authority that coordinates international efforts, helping align approaches and reduce inconsistencies between jurisdictions. It provides governance, technical guidance, and collaborative forums that support the creation of compatible and comparable reporting frameworks worldwide.

For businesses, XII ensures that the standard they adopt is globally recognised, technically robust, and supported by a community of experts. This reduces uncertainty, protects investments in reporting systems, and promotes smoother compliance in multiple markets.

For data users, XII safeguards the reliability and comparability of the information produced under the XBRL framework. By setting and maintaining global standards, it ensures that data from different sources can be trusted, understood, and analysed without loss of meaning.

XBRL International is the global “anchor” that keeps the standard stable, relevant, and effective, so that everyone in the reporting ecosystem can work with trustworthy, comparable, and future-proof data.

Governance Structure

XBRL International’s governance framework is designed to ensure that the organisation’s strategic, technical, and implementation activities are properly coordinated and serve the public interest. Governance bodies include:

  • Member Assembly: XBRL International is ultimately governed by its Member Assembly, a group of voting Members including XII Direct Members and Jurisdiction representatives, that provide oversight to certain key aspects of the organisation.

  • Board of Directors: Provides strategic leadership, organisational oversight, and ensures the financial health of the consortium. The Board represents the interests of all members and oversees the delivery of XII’s mission.

  • XBRL Standards Board (XSB): The XSB’s main functions are to form, oversee, and dissolve Working Groups; define, prioritise, and coordinate the development of specifications and other technical outputs; approve the progression of work products and recommend final specifications to the Board; and report progress and issues to the Board while coordinating with the BPB. It meets monthly to review Working Group reports, vote on work product progression, assess progress against the technical roadmap, and discuss refinements. The number of Working Groups varies over time. More information is available in the XSB Charter, and the current members are listed on the XBRL website.

  • Best Practices Board (BPB): The BPB’s main functions are to form, oversee, and dissolve its Working Groups (long-term) and Task Forces (short-term); define, prioritise, and coordinate the development of guidance documents and other best practice materials; approve the progression of work products and agree on their publication by XII; and report progress and issues to the Board while coordinating with the XSB. It meets fortnightly to review reports from its subgroups, vote on work product progression, assess progress against the work plan, and discuss refinements. The number of Working Groups and Task Forces varies over time. More information is available in the BPB Charter, and the current members are listed on the XBRL website.

  • Board Standing Committees: The Standing Committees of the Board are responsible for the business of the consortium in the areas of Finance & HR, Nominations and the currently dormant Membership Development. Committee members are volunteers, selected for their seniority and overall understanding of the role of the standard.

The XBRL International staff work with the Board, XSB, BPB and their respective working groups, task forces, and committees to support the day-to-day operations of XII.

XBRL International Governance Structure

XBRL Standard Development Process

XBRL International develops its standards through a transparent, structured, and consensus-driven process that ensures technical quality and broad stakeholder support. The work is coordinated mainly by the XBRL Standards Board (XSB) and carried out within specialist working groups and task forces.

  • Proposal: A need for a new specification or an update is identified by regulators, implementers, or working groups, and is typically articulated in a requirements document.

  • Drafting: Technical experts collaborate to prepare an initial draft specification, typically within a dedicated working group.

  • Initial Public Review: Drafts are released for open public comment, allowing all stakeholders to review and provide feedback. This includes publishing the specification as a “Public Working Draft”.

  • Revision and Feedback: Feedback is incorporated, and the revised draft is reviewed by the XSB before formal approval. This stage includes publishing a “Candidate Recommendation”, a mature draft believed to meet requirements, shared to encourage real-world testing and implementation feedback. Following that, a “Proposed Recommendation” is published, which is a near-final version that incorporates testing results and resolves major issues, awaiting formal approval.

  • Final Publication: The step of designating a body of work as an XBRL Recommendation is carried out by the Board, based on the endorsement and request of the XBRL Standards Board. The approved standard is published on the XBRL International website as a “Recommendation”, becoming part of the official suite of XBRL specifications.

  • Maintenance: Periodic updates and clarifications are issued to ensure ongoing relevance and technical compatibility.

XBRL Standard Development Process

Each stage has specific review and approval criteria, ensuring that only thoroughly vetted specifications are adopted.

The process is deliberately open, inviting contributions from members and non-members worldwide. This transparency helps build trust in the specifications and ensures they address real-world needs. By engaging regulators, software providers, preparers, and data users in multiple jurisdictions, XBRL standards achieve broad interoperability and are resilient to changes in technology or regulation.

You can browse the XBRL standards on the specifications subsite. The official process of XBRL standards development is documented in Working Groups and Work Product Development Process 1.3.

Beyond Standard Development

While XBRL International is primarily responsible for developing and maintaining the XBRL technical standards, its work extends far beyond standard-setting. The organisation plays a critical role in ensuring that XBRL remains relevant, widely adopted, and consistently implemented worldwide.

Software Certification

XBRL International offers the XBRL Certified Software Programme, providing an independent, internationally recognised certification for software that complies with the XBRL specifications. For regulators, certification helps ensure only valid, high-quality reports are accepted, reducing data quality issues. For preparers, it provides confidence that reports will be processed and understood correctly by any conformant system.

Supporting Global Adoption

Through outreach, training, and collaboration with national and regional jurisdictions, XII promotes consistent and sustainable adoption of XBRL. It helps new markets establish frameworks for implementation and supports mature markets in expanding usage beyond financial reporting into sustainability, performance, and other disclosures.

Ensuring Best Practices

XII provides guidance resources such as best practice guides, explanatory articles, case studies, and white papers to support the implementation of the XBRL Standard within a reporting programme or framework. This work ensures that XBRL reports are interoperable across systems and jurisdictions, making global comparisons and analysis possible.

Collaborating with Stakeholders

XII serves as a neutral platform where regulators, preparers, software providers, and data users can collaborate on technical and policy challenges. These relationships help align requirements, avoid duplication of effort, and maintain the integrity of the standard.

At its core, XBRL International is more than a standards body; it is a global facilitator that connects people, technology, and policy to improve the quality, accessibility, and comparability of business data worldwide
